Urban One Files 2022 Q4 and Full Year Operating Results

If you’ve been following this story, you are aware that Urban One is late with this Securities and Exchange Commission filing because of accounting issues related to the valuation of its investment interest in MGM National Harbor, which the company sold for cash proceeds of approximately $136.8 million on April 21, 2023. Re-evaluation of the accounting required adjustment to the company’s filings for the four quarters of 2021 andim Q3 of 2022. For the fourth quarter of 2022, net revenue was approximately $132.6 million, an increase of 1.6% from the same period in 2021. The company reports operating income of approximately $14.3 million for the period, compared to approximately $20.3 million for Q4 of 2021. Broadcast and digital operating income was approximately $47.6 million, an increase of 7.9% from the same period in 2021. Net income was $856,000 compared to approximately $5.3 million in net income for the same period in 2021. The company has yet to file its operating results for Q1 of this year, but its preliminary results from the quarter show same station radio segment revenue up 2.0% on a same station basis.

Urban One Announces Partnership to Operate Richmond Casino

Urban One reports to the Securities and Exchange Commission that on June 13, 2023, Urban One, Inc.’s 50/50 partnership with Churchill Downs Incorporated, RVA Entertainment Holdings, LLC, entered into aim Resort Casino Host Community Agreement with the City of Richmond, Virginia, to be the city’s preferred casino gaming operator subject to certification by the Virginia Lottery Department and a local referendum. The planned project is a $562 million world-class entertainment and gaming venue.

Triton Digital Releases April Streaming Rankers

Triton Digital publishes its latest ranking of digital audio publishers for April of 2023, based on Average Active Sessions (AAS can be calculated by dividing Total Listening Hours by the number of hours within the reported time period). iHeartRadio remains the #1 streaming publisher in the U.S. (299,103 AAS), followed by NPRim Member Stations at #2 (75,116 AAS), and Audacy at #3 (66,485 AAS). Cumulus Streaming Network is ranked #4 (40,662 AAS). Beasley Broadcasting Corporate is #6 (19,040 AAS), followed by Hubbard Broadcasting at #8 (14,953 AAS), Urban One at #10 (9,743 AAS), and Salem Communications at #12 (8,297 AAS). Urban One Gets Second Notice of Non-Compliance from NASDAQ

Urban One has received a second notice from the NASDAQ Listing Qualifications Department that it was not in compliance as a result of not having timely filed both its Annual Report on Form 10-K for the period ended December 31, 2022 and Quarterly Report on Form 10-Q for the period ended March 31, 2023. Urban Oneim received its first notice of non-compliance on April 3. In accordance with the second NASDAQ notice, Urban One has until June 2 to submit a plan to file both delinquent reports or to submit a plan to regain compliance. If NASDAQ accepts the company’s plan, Urban One may get up to 180 days (September 27) to file the reports. If it doesn’t, the company can appeal the decision. Urban One says it intends to submit its plan to regain compliance on or before June 2.

Urban One brings Brian McGhee aboard as director of sales for its Washington, DC station group that includes urban talk WOL-AM and four music brands, effective June 20. McGhee comes to Urban One fromim Townsquare Media where he was market president and general manager for its Rockford, Illinois station group. Urban One regional VP & general manager Jeffery Wilson Sr. says, “Brian has a track record of taking leadership, customer service, and community service to the highest levels, while working with his teams to reinvent themselves. Urban One Unable to File First Quarter Operating Results

Urban One files a notification of late filing with the Securities Exchange Commission explaining the reason it has not filed its 2022 year-end 10-K (and other forms), as well as its first quarter 2023 10-K. The company says, “On April 7, 2023, Urban One, Inc. (the “Company”) announced that in connection with the preparation of its financial statements for the year ended December 31, 2022, the Company’s management, in consultationim with its independent registered public accounting firm, re-evaluated the Company’s accounting for the valuation of its investment interest in MGM National Harbor (the “MGM Interest”), which the Company sold for cash proceeds of approximately $136.8 million on April 21, 2023. After further review of the Company’s accounting for its MGM Interest, it was determined that adjustments are required to the Company’s financial statements as of January 1, 2021 and for each of the annual and interim periods ended December 31, 2021 and September 30, 2022 (the “Affected Periods”), due to understatements in the value of the MGM Interest… The Company’s management concluded that in light of the error described above, a material weakness exists in the Company’s internal control over financial reporting for the Affected Periods. The Company’s remediation plan with respect to such material weakness will be described in more detail in the 2022 Form 10-K. Due to the Company’s continued efforts in connection with the Restatement, preparation of the 2022 Form10-K and continued assessment of its internal controls, the Company is not able to finalize the financial statements and related information for inclusion in its quarterly report on Form 10-Q for the quarter ended March 31, 2023 (“2023 Q1 Form 10-Q”). Accordingly, the Company is unable to file its 2023 Q1 Form 10-Q within the prescribed time period.”

Dan Dakich Renews with Outkick

Sports talk personality Dan Dakich signs a multi-year contract to continue as the host of the daily “Don’t @ Me!” show for Outkick. Dakich, who previously hosted a show on Urban One’s sports talk WFNI-AM, Indianapolis “The Fan,” has been hosting the 9:00 am to 11:00 am show on OutKick.com and its social media platforms since 2021. Outkick founder Clay Travis says, “Dan has been instrumental in the success of OutKick and I’m thrilled to have him on board. Every day his high energy, humor, and bold opinions drive fans to the platform and create awareness of the great content produced by OutKick.” Dakich comments, “I’ve had so much fun hosting my show with OutKick and am excited to keep it rolling. Urban One Gets Non-Compliance Notice from Nasdaq

Urban One reports that it has received a letter from the Listing Qualifications Department of the Nasdaq Stock Market LLC notifying the company that it was not in compliance with requirements of Nasdaq Listing Rule 5250(c)(1) as a result of not having timely filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 with the Securities and Exchange Commission. “This notification has no immediate effect on the listing of Urban One’s common stock on the Nasdaq. However, if it fails to timely regain compliance with the Nasdaq Listing Rule, the Company’s common stock will be subject to delisting. Under the Nasdaq rules, the company has 60 calendar days to file the 2022 Form 10-K or to submit to Nasdaq a plan to regain compliance with the Nasdaq Listing Rule. If Nasdaq accepts the company’s plan, then Nasdaq may grant the Company up to 180 days from the prescribed due date for filing the 2022 Form 10-K to regain compliance. If Nasdaq does not accept the company’s plan, then Urban One will have the opportunity to appeal that decision to a Nasdaq Hearings Panel. The company says it is working diligently and expects to file its 2022 Form 10-K within the 60-day period. Previously, Urban One notified the SEC that it had identified material weaknesses in its internal control over financial reporting and as a result, expected some of its internal controls over financial reporting and disclosure controls would be ineffective as of December 31, 2022. The Annual Report on Form 10-K for 2022 will describe these material weaknesses, and the company is implementing plans to remediate them.”

The third of four rounds of ratings information from Nielsen Audio’s February PPM survey has been released for 12 markets including Portland, Charlotte, San Antonio, Sacramento, Pittsburgh, Salt Lake City, Las Vegas, Orlando, Cincinnati, Cleveland, Kansas City, and Columbus. Nielsen’s February 2023 sweep covered February 2 – March 1. Today, TALKERS magazine managing editor Mike Kinosian presents his Ratings Takeaways from this group of markets. In Portland, Alpha Media’s news/talk KXL-FM rises four-tenths to finish with a 7.0 share (weekly, 6+ AHQ share) good for the #4 rank, while iHeartMedia’s crosstown news/talk KEX-AM also goes up four-tenths and finishes with a 3.4 share that lifts it to the #9 rank. Urban One’s news/talk WBT-AM/FM, Charlotte shoots up 1.2 shares to finish the survey with a 5.5 share that moves it from the #8 rank to #4. Urban One to Cash Out of MGM National Harbor; Will File 10-K Late

In an 8-K filing with the Securities Exchange Commission, Urban One reports that its wholly owned subsidiary Radio One Entertainment Holdings, LLC has issued a put notice with respect to 100% of its interest in MGM National Harbor, LLC. The latter is now required to repurchase the Radio One’s put interest for cash and it should get $145.5 million at the time of settlement. At the same time, Urban One is notifying the SEC that is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 before the March 16 deadline. The company says it expects to file the report within the 15-day extension period. Urban One adds, “The company noted it expects its auditor will issue an unqualified opinion on the consolidated financial statements. The company has identified material weaknesses in the company’s internal control over financial reporting and as a result, expects some of its internal controls over financial reporting and disclosure controls will be ineffective as of December 31, 2022. The Annual Report on Form 10-K for the year ended December 31, 2022 will describe these material weaknesses, and the company is implementing plans to remediate them.”

WBT-AM/FM, Charlotte and Host Brett Winterble Agree to Extension

Urban One’s WBT-AM/FM, Charlotte signs afternoon drive talk host Brett Winterble to a multi-year contract extension. WBT says, “Winterble arrived at WBT in February of 2020 at a critical time in the U.S. The country was in the middle of one of the most news-worthy election cycles in history and the early stages of a global pandemic. Triton Digital Reveals Top Streamers for January

Triton Digital published the data for its ranking of the top streaming publishers for January of this year, based on Average Active Sessions. iHeartRadio remains #1 with 293,362 AAS, followed by NPR Member Stations at #2 (77,602 AAS), and Audacy at #3 (58,527 AAS). Other commercial broadcasters making the top 30 include Cumulus Streaming Network at #4 (40,999 AAS), Beasley Broadcasting Corporate at #6 (18,862 AAS), Hubbard Broadcasting at #8 (14,792 AAS), Urban One at #11 (9,601 AAS), and Salem Communications at #12 (8,244 AAS). Round Four of January PPMs Released

Barry Farber - usedThe fourth of four rounds of ratings data from Nielsen Audio’s January 2023 PPM survey has been released for 12 markets including Austin, Raleigh, Indianapolis, Milwaukee, Nashville, Providence, Norfolk, Jacksonville, West Palm Beach, Greensboro, Memphis, and Hartford. Nielsen’s January 2023 sweep covered January 5 – February 1. Today, TALKERS magazine managing editor Mike Kinosian presents his Ratings Takeaways from this group of markets. Urban One’s news/talk WIBC-FM, Indianapolis comes back from the Holiday survey with a 1.5 share increase to post a 7.2 share (weekly, 6+ AQH share) but remains ranked #3. In Milwaukee, iHeartMedia’s news/talk WISN-AM adds eight-tenths to finish the survey with a 9.6 share that lifts it to the #1 rank, while Good Karma Brands’ crosstown news/talk WTMJ-AM adds 1.3 shares to wrap the survey with a 7.5 share but remains anchored in the #5 spot.
